Terms of Service

1. Agreement to Terms

By accessing or using Gray ("the Service"), operated by Framework Advisory Firm LLC ("Framework Advisory," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Gray is a contract analysis service that uses artificial intelligence to analyze federal government contracts and produce structured reports ("Blueprint Reports"). The Service includes:

• Document upload and parsing
• AI-powered contract analysis
• Generation of structured Blueprint Reports
• Optional ongoing advisory subscriptions

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must provide accurate and complete information when creating your account.

4. Acceptable Use

You agree not to:

• Upload documents containing Controlled Unclassified Information (CUI), classified information, or information marked with government distribution limitations
• Use the Service for any unlawful purpose
• Attempt to reverse-engineer, decompile, or extract the AI models or analysis methodology
• Share account credentials with unauthorized individuals
• Upload documents you do not have authority to share with a third-party service

5. CUI and Classified Information

Gray is not designed for, and must not be used to process, Controlled Unclassified Information (CUI), classified information, or any document bearing government classification or distribution markings. If your contract contains CUI markings (e.g., "CUI," "FOUO," "Distribution Statement B" or higher), do not upload it to this Service. Framework Advisory accepts no liability for CUI or classified data uploaded in violation of this restriction.

6. Payment Terms

Blueprint Reports are purchased at the price displayed at checkout ($249 per report as of the date above). Payment is processed by Stripe, Inc. Subscription pricing, if applicable, is billed monthly in advance. All fees are non-refundable except as described in Section 7.

7. Refund Policy

If the Service fails to produce a report (system error, not a quality disagreement), we will re-run the analysis at no charge or issue a full refund at your option. Quality-related concerns should be directed to our advisory team for discussion. We do not offer refunds based on disagreement with the AI-generated analysis.

8. Intellectual Property

You retain all rights to your uploaded documents. The Blueprint Reports generated by the Service are delivered to you for your use. Framework Advisory retains ownership of the Service, its AI models, prompts, and methodology. We do not claim ownership of your contract documents or the reports generated from them.

9. Data Handling

Your contract data is handled in accordance with our Privacy Policy. Key commitments:

• All data processed and stored in the United States
• We do not use customer data to train AI models
• Per-customer data isolation
• Deletion on request within 30 days

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. The Blueprint Reports are AI-generated analysis and do not constitute legal advice, contracting officer advice, or professional advisory services. The reports are informational tools intended to assist your contract management activities. For decisions with legal or financial consequences, consult a qualified professional.

11. Limitation of Liability

To the maximum extent permitted by law, Framework Advisory's total liability for any claim arising from the Service shall not exceed the amount you paid for the specific report or subscription period giving rise to the claim. Framework Advisory is not liable for indirect, consequential, incidental, or punitive damages.

12. Indemnification

You agree to indemnify Framework Advisory against any claims arising from your violation of these Terms, your use of the reports in a manner inconsistent with their intended purpose, or your upload of documents you were not authorized to share.

13. Modifications

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms. Material changes will be communicated via email or in-app notification.

14. Termination

We may suspend or terminate your account for violation of these Terms. You may close your account at any time by contacting us. Upon termination, your data will be deleted within 30 days.

15. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles.
